These Terms & Conditions (“Terms”) govern your access to and use of PlugMe (“PlugMe”, “we”, “us”, “our”), including the website, apps, APIs, push notifications, and any related services (collectively, the “Service”). By creating an account, viewing content, uploading contacts, or using any part of the Service, you agree to these Terms and our Privacy practices referenced here. If you do not agree, do not use the Service.

1. The Service

PlugMe is a contacts marketplace and referral platform that lets users discover and purchase contact leads and connect with them quickly via WhatsApp or other channels. We also provide an affiliate system and optional upgrades that unlock features such as higher limits and withdrawal access.

2. Account Registration and Eligibility

• You must be at least the age of majority in your country and capable of forming a binding contract.
• You agree to provide accurate information and to keep it updated. You are responsible for all activity under your account.
• We may require verification (e.g., phone, email, or government ID) before enabling certain features (including withdrawals).
• One person or entity may not maintain multiple accounts for abusive or fraudulent purposes.

3. Public vs. Non-Public Information (Read Carefully)

Public Visibility: PlugMe is designed so that most information you submit in listings, profiles, and contact uploads is visible to other users by default. Whatever you fill on the site that is intended for discovery—such as contact names, categories, pricing, descriptions, ratings, reviews, location areas, or business details—may be seen by others. Only submit content you are comfortable sharing publicly and that you have the right to share.

Non-Public / Sensitive Data: Credentials (passwords), payment tokens, private support messages, and other sensitive database fields are not public. We take reasonable steps to protect them. However, no method of transmission or storage is 100% secure, and you use the Service at your own risk.

Contact Visibility: Contacts you list for sale or distribution on PlugMe, and any fields you mark as visible, will be visible to other users and buyers. Do not upload contacts you are not authorized to share.

4. Your Responsibilities

• Only upload, list, or sell contacts and data that you lawfully obtained and have the right to share, sell, or license.
• Respect all applicable privacy, consumer protection, advertising, and anti-spam laws. You are solely responsible for ensuring your listings and outreach comply with the laws of the recipients’ jurisdictions.
• Do not post harmful, deceptive, defamatory, pornographic, hateful, or illegal content. Do not harass users or facilitate scams.
• Do not scrape, copy at scale, reverse engineer, or misuse the Service or other users’ content.
• Maintain the security of your account. Notify us immediately of unauthorized use or a suspected breach.

5. Payments, Upgrades, and Fees

• Certain features require a paid deposit or upgrade. Prices, taxes, and fees are shown in-app and may change.
• Upgrades generally unlock higher limits and withdrawal access. Specific entitlements are shown in your account.
• All charges are in the currency we display (typically NGN). Exchange fees may apply if you pay from another currency.
• Except where required by law, payments are non-refundable. If we issue a refund at our discretion, it will be processed to your original method where possible.

6. Affiliate Program and Earnings

• Commission percentages and qualification rules are shown in your dashboard and may change. We may run pools, bonuses, or profit shares as announced in-app.
• Earnings are accrued in your account balance. We may apply a verification review or a holding period to prevent fraud or chargebacks.
• Payouts: Withdrawals are typically processed weekly (e.g., Fridays) as displayed in-app. Only upgraded users may withdraw. You must request a payout, be eligible, and provide accurate bank details. Minimum thresholds and processing timelines may apply.
• We may reverse, withhold, or claw back earnings resulting from fraud, self-referrals, fake traffic, returns, chargebacks, policy violations, or errors.

7. Listings, Transactions, and Buyer Protections

• Sellers must provide accurate descriptions. Misleading or duplicate data is prohibited.
• Buyers should review listing details carefully before purchasing. Because contacts are digital, all sales are generally final.
• We may provide optional dispute assistance, but we are not a party to transactions between users and are not liable for user-provided content.
• We may remove or edit listings that violate these Terms or applicable law.

8. Messaging, Notifications, and Communications

• By using the Service, you consent to receive operational messages (email, SMS, in-app, or push) including verification codes, receipts, alerts, and policy updates.
• For marketing messages, you can opt out via provided controls where available.
• Push notifications may be sent via third-party providers. You can manage permissions in your device or account settings.

9. Intellectual Property

• We own the Service and all associated intellectual property except for your content and third-party materials.
• When you post or upload content to PlugMe, you grant us a worldwide, non-exclusive, transferable, sublicensable license to host, store, reproduce, distribute, display, and create derivative works as needed to operate, promote, and improve the Service.
• You represent that you have all rights necessary for the content you share.

10. Data Use and Privacy

• We process personal data to operate the Service, prevent fraud, and comply with law. Details are described in our privacy practices.
• We may analyze aggregated or anonymized data to improve features, detect abuse, and generate insights.
• We retain data for as long as necessary for the purposes described or as required by law. You may request deletion of your account, subject to our legal obligations and legitimate interests.

11. Prohibited Activities

• Illegal use, money laundering, terrorism financing, child exploitation, human trafficking, or any violent or hateful conduct.
• Spam or unsolicited messages without proper consent; selling highly sensitive personal data; doxxing; phishing; malware.
• Circumventing fees; chargeback abuse; account farming; artificial traffic; false disputes; use of bots to harvest contacts.
• Interfering with the Service’s integrity, security, or availability.

12. Suspension and Termination

• We may suspend, limit, or terminate your account or remove content at any time if we believe you violated these Terms, risked harm to users, or for any legal or security reason.
• Upon termination, licenses to your content for operational purposes may continue as necessary for legal, accounting, or dispute reasons.

13. Third-Party Services

The Service may integrate third-party tools (e.g., payment processors, analytics, push providers, or WhatsApp). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.

14. Disclaimers

• The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
• We do not guarantee that contacts are accurate, up-to-date, exclusive, or will lead to sales, conversions, or income.
• We do not control or endorse user content and are not responsible for users’ actions.

15. Limitation of Liability

• To the maximum extent permitted by law, PlugMe and its officers, directors, employees, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill.
• Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to PlugMe for the Service in the 6 months preceding the event.

16. Indemnification

You agree to defend, indemnify, and hold harmless PlugMe and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.

17. Changes to the Service and Terms

We may modify the Service and these Terms at any time. When we make material changes, we will update the “Last updated” date and may provide additional notice. Your continued use after the changes become effective constitutes acceptance.

18. Complaints and Disputes

• Contact our support for issues with transactions, listings, or payouts. We may request additional information to investigate.
• If we cannot resolve a dispute informally, the parties agree to seek resolution through negotiation and, if necessary, mediation or arbitration as permitted by law.

19. Governing Law and Venue

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of competent courts located in Lagos, Nigeria, unless applicable law requires otherwise.

20. Miscellaneous

• If any provision is held unenforceable, the remaining provisions remain in full force.
• No waiver of any term is a continuing waiver.
• You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• These Terms constitute the entire agreement between you and PlugMe regarding the Service.

• We can remove content, suspend accounts, or reverse earnings for fraud or policy violations.
